Item 1.01. Entry into a Material Definitive Agreement.
On September 24, 2015, CIFC Corp. (the “Company”), in exchange for a cash payment of $350,000 from DFR Holdings, LLC (“DFR Holdings”), agreed to extend the expiration date of the warrant held by DFR Holdings to purchase 2,000,000 shares of the Company’s common stock from September 24, 2015 to January 24, 2017. This summary of the amendment to the warrant is qualified in its entirety by reference to the complete text of the First Amendment to Amended and Restated Warrant to Purchase Common Stock of CIFC Corp., a copy of which is filed herewith as Exhibit 10.1 to this Current Report on Form 8-K, and is incorporated herein by reference.
