Item 7.01. Regulation FD Disclosure.

As previously disclosed, on March 10, 2015, Allied Nevada Gold Corp. (the “Company” or “Allied Nevada”), a Delaware corporation, and certain of its domestic direct and indirect subsidiaries (together with the Company, the “Debtors”) filed voluntary petitions for relief (the “Chapter 11 Cases”) under Chapter 11 of the United States Bankruptcy Code (the “Bankruptcy Code”) with the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”). During the pendency of the Chapter 11 Cases, the Debtors are operating their businesses as debtors-in-possession under the jurisdiction of the Bankruptcy Court and in accordance with the applicable provisions of the Bankruptcy Code.

On April 24, 2015, the Debtors filed with the Bankruptcy Court a proposed joint chapter 11 plan of reorganization and related disclosure statement. On July 23, 2015, the Debtors filed with the Bankruptcy Court a proposed amended joint chapter 11 plan of reorganization and related amended disclosure statement. On August 27, 2015, the Debtors filed with the Bankruptcy Court an additional proposed Amended Joint Chapter 11 Plan of Reorganization (the “Amended Plan”) and related Amended Disclosure Statement (the “Amended Disclosure Statement”). The Bankruptcy Court entered an order approving the Amended Disclosure Statement on August 28, 2015.

On September 18, 2015, the Debtors filed with the Bankruptcy Court a supplement (the “Plan Supplement”) to the Amended Plan. The Plan Supplement includes draft versions of certain documents (the “Documents”) related to the Amended Plan and referenced therein, including, among other things, (i) forms of amended organizational documents for certain Debtors; (ii) a form of new first lien term loan credit agreement, (iii) a form of new intercreditor agreement, (iv) a form of note purchase agreement, (v) a form of new second lien convertible notes indenture, (vi) a form of new warrant agreement and form of new warrant, (vii) a list of the reorganized Debtors’ directors and officers, (viii) a schedule of retained causes of actions, (ix) a schedule of assumed executory contracts and unexpired leases to be assumed by Debtors, (x) a form of stockholders agreement, (xi) a form of management incentive plan, (xii) a form of post-emergence key employee retention plan, and (xiii) the identities of the creditor representative and new warrant representative. The Debtors reserve the right to add additional documents to the Plan Supplement or to alter, amend, modify or supplement any of the Documents. A copy of the Plan Supplement, as filed, is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

This Current Report on Form 8-K is not intended to be, nor should it be construed as, a solicitation for a vote on the Amended Plan.

The Plan Supplement shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), is not otherwise subject to the liabilities of that section, and is not deemed incorporated by reference in any filing under the Securities Act of 1933, as amended (the “Securities Act”), or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
