Item 3.01
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On September 21, 2015, the New York Stock Exchange, or “NYSE,” notified Verso that the NYSE has suspended trading in our common stock, effective immediately, and has commenced proceedings to delist the stock from the NYSE. The NYSE took this action when the trading price of Verso’s common stock decreased to $0.15 per share on September 21, 2015. The NYSE, in interpreting the continued listing standards under Section 802.01D of the NYSE’s Listed Company Manual, has determined that a trading price of $0.15 or less per share is “abnormally low” and, therefore, is cause for suspension of trading and delisting from the NYSE. The NYSE’s application to the Securities and Exchange Commission to delist Verso’s common stock is pending, subject to the completion of applicable procedures.
On September 21, 2015, Verso issued a press release announcing the developments disclosed in this report. A copy of the press release is included as Exhibit 99.1 to this report and is incorporated herein by reference.
