Item 8.01. Other Events.

On September 17, 2014, Net1 issued a press release which announced that the United States District Court for the Southern District of New York (“Court”) has issued an opinion and order dismissing the purported class action lawsuit brought against Net1, its Chief Executive Officer and Chief Financial Officer on December 24, 2013. A copy of the press release is attached as Exhibit 99.1. A copy of the Court’s opinion and order is attached as Exhibit 99.2.
