Item 8.01 Other Events
On September 11, 2015, the Company adopted a written trading plan under Rule 10b5-1 of the Securities and Exchange Act of 1934, as amended. The Company may utilize this plan to make purchases of its common stock through October 30, 2015, covering a period during which it would otherwise be subject to a self-imposed trading blackout. Repurchases under the previously announced repurchase plan and the trading plan are subject to the Securities and Exchange Commission’s regulations as well as certain price, market, volume and timing constraints specified in the plans.
