Item 3.03 Material Modifications to Rights of Securities Holders.
On September 8, 2015, Nano Mobile Healthcare, Inc. (formerly known as Vantage mHealthcare, Inc.; the “Company”) filed with the Secretary of State of the State of Delaware a Certificate of Amendment to its Certificate of Incorporation (the “Amendment”). The Amendment was filed solely to change the name of the Company to “Nano Mobile Healthcare, Inc.” The full text of the Amendment is attached hereto as Exhibit 3.1.

The information regarding the Amendment to the Company’s Certificate of Incorporation set forth under Item 3.03 is incorporated into this Item 5.03 by reference.
