Item 8.01 Other Events.

On September 1, 2015, La Quinta Holdings Inc. (“La Quinta” or the “Company”) entered into a definitive purchase and sale agreement to sell 24 of its owned hotels. As previously disclosed, the Company recorded an impairment charge of $42.5 million in the three months ended June 30, 2015 to adjust the carrying value of this portfolio of hotels to its estimated fair value. This portfolio is geographically dispersed and the Company expects that the majority of these hotels will be removed from the La Quinta system. The Company expects to close the sale prior to the end of 2015, subject to customary closing conditions.
