Item 8.01 Other Events

 

Upon the previously announced closing of the stock purchase by A-III Investment Partners LLC (“A-III”) in ACRE Realty Investors Inc. (f/k/a Roberts Realty Investors, Inc.) (the “Company”) on January 30, 2015, A-III and the Company entered into a Registration Rights Agreement, dated as of January 30, 2015 (the “Registration Rights Agreement”) pursuant to which the Company agreed, among other things, to file on or before the 180th day after the date of the Registration Rights Agreement (or July 30, 2015) a shelf registration statement providing for the resale from time to time of the shares of Company common stock owned by A-III, including shares of common stock underlying the warrants that A-III holds (a “Shelf Registration Statement”).

 

The Company is not expected to become eligible again to use the short Form S-3 for the Shelf Registration Statement until February 2016. Therefore, in order to comply with the July 30, 2015 Shelf Registration Statement filing deadline under the Registration Rights Agreement, the Company would have been required to use Form S-11 for the Shelf Registration Statement. Recognizing that it would be more costly for the Company to use Form S-11 than Form S-3 for the Shelf Registration Statement, as an accommodation to the Company A-III notified the Company’s Board of Directors that A-III would be willing defer its right to have its shares of Company common stock registered by the Company under a Shelf Registration Statement until a later date that would be more convenient and less costly for the Company. On September 3, 2015, the Company’s Board of Directors unanimously approved a deferral of the deadline for the Company to file a Shelf Registration Statement to register for resale A-III’s shares of Company common stock until up to May 31, 2016. This deferral will allow for the use by the Company of Form S-3, which will be less costly for the Company than Form S-11. Other than the foregoing deferral of the registration deadline to May 31, 2016, all terms and conditions of the Registration Rights Agreement remain in full force and effect.
