Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 28, 2015, Corsair Capital, LLC’s (it and its affiliates, “Corsair”) board representative Clifford V. Brokaw resigned as a director of United Community Banks, Inc. (the “Company”). Prior to his resignation, Mr. Brokaw had served as a representative of Corsair on the Company’s board of directors.

 

Also on August 28, 2015, the Company’s board of directors elected Nicholas B. Paumgarten to serve as Corsair’s board representative in accordance with Corsair’s rights under the terms of an investment agreement the Company entered into with Corsair in connection with its investment in the Company. Mr. Paumgarten is the Founder of Corsair and has been working closely with the Company since Corsair’s investment in the Company.
