Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On August 26, 2015, the Compensation Committee (the “Committee”) of the Board of Directors of Juniper Networks, Inc. (the “Company”) completed a periodic review of the Company’s form of change of control agreement, which is due to expire pursuant to its terms on January 1, 2016. As part of the review, the Committee approved (i) an updated form of change of control agreement (the “Agreement”), and (ii) the use of the Agreement for Rami Rahim, the Company’s Chief Executive Officer, and certain members of the Company’s senior management, including Robyn Denholm, Pradeep Sindhu, and Vincent Molinaro. The Agreement will replace the existing change of control agreements for such officers and members of senior management. The Agreement reflects no material changes to the benefits payable under the existing change of control agreements and will expire on January 1, 2018.
