On August 24, 2015, the Board of Directors of Xylem Inc. (the “Company”) approved the adoption of a new share repurchase program. Under the new program, which has no expiration date, the Company is authorized to purchase up to $500 million in shares of Company common stock. Repurchases under the new program will be structured as permitted by securities laws and other legal requirements. The new program does not obligate the Company to acquire any particular amount of common stock, and it may be suspended at any time in the Company’s discretion.
