Item 8.01 Other Events.
On August 20, 2015, Banc of California, Inc. announced that its Board of Directors has declared a quarterly dividend payment on its Series C and Series D Preferred Stock representing an annualized yield of 8.00% and 7.375%, respectively, on the liquidation preference amount for outstanding shares. The dividend will be payable on September 15, 2015 to record holders as of September 1, 2015 of depositary shares relating to the underlying Series C and Series D Preferred Stock.
A copy of the press release is attached to this report as Exhibit 99.1 and incorporated by reference herein.
