Item 5.02.                                              Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 27, 2015, Olga Tsokova gave notice to City National Corporation (the “Company”) that she intends to resign as Senior Vice President and Chief Accounting Officer (Principal Accounting Officer), effective August 19, 2015, to accept a similar position at another company.

Effective as of Ms. Tsokova’s departure, Christopher J. Carey, the Company’s Executive Vice President and Chief Financial Officer, will serve as the Company’s Principal Accounting Officer as that position relates to the Company’s filings with the Securities and Exchange Commission.
