Item 1.01. Entry into a Material Definitive Agreement.
On August 5, 2015, Diamond Resorts Centralized Services Company, a wholly-owned subsidiary of Diamond Resorts International, Inc. (the “Company”), and Praesumo Partners, LLC (“Praesumo Partners”) entered into a Fourth Extension Agreement, which extends the term of that certain Terms of Engagement Agreement for Individual Independent Contractor, dated as of June 2009, for an additional one-year term expiring on August 31, 2016. Lowell D. Kraff, the Vice Chairman of the Company’s Board of Directors, is a beneficial owner and a controlling party of Praesumo Partners. A copy of the Fourth Extension Agreement is attached as Exhibit 10.1 to this Form 8-K and is incorporated herein by reference.
