Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On July 31, 2015, the Board of Directors (the “Board”) of Louisiana-Pacific Corporation (the “Company”) approved and adopted amendments to the Bylaws of the Company (the “Bylaws”). Among other things, the amendments to the Bylaws added a new forum selection provision that provides that, unless the Company consents in writing to the selection of an alternative forum, the sole and exclusive forum for (i) any derivative action or proceeding brought on behalf of the Company, (ii) any action asserting a claim of breach of a fiduciary duty owed by any director, officer or other employee of the Company to the Company or the Company’s stockholders, (iii) any action asserting a claim arising pursuant to any provision of the General Corporation Law of the State of Delaware, or (iv) any action asserting a claim governed by the internal affairs doctrine shall be the Court of Chancery of the State of Delaware. Additionally, the amendments to the Bylaws provide that, to be timely, either a director nomination or a stockholder proposal needs to be received by the Company not more than 75 calendar days prior to the first anniversary of the date on which the Company initially mailed or made available its proxy materials for the preceding year’s annual meeting of stockholders (in addition to the existing requirement that a director nomination or stockholder proposal be received not less than 45 calendar days prior to such date) and modified certain procedural and informational requirements in connection with director nominations and stockholder proposals.
