On August 3, 2015, Great Ajax Corp. (the “Company”) issued a press release regarding its financial results for the quarter June 30, 2015 (the “Press Release”). A copy of the Press Release is attached hereto as Exhibit 99.1 and is available on the Company’s website.

On August 3, 2015, the Company will hold an investor conference call and webcast to discuss financial results for the second quarter ended June 30, 2015, including the Press Release and other matters relating to the Company.

Item 8.01 Other Events

On August 3, 2015, Company issued a press release announcing that its Board of Directors has declared a quarterly cash dividend of $0.22 per share of common stock. The dividend is payable to the Company’s shareholders of record as of August 14, 2015 and is expected to be paid on August 28, 2015.
