Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On July 27, 2015, Jerrod N. Menz, the former President of AAC Holdings, Inc. (the “Company”) and a former member of the Company’s Board of Directors (the “Board”), presented to the Board a letter of resignation whereby he resigned from his position of President and as a member of the Board. Mr. Menz’s resignation was conditioned upon, and effective as of, the release of an indictment by a grand jury in connection with an investigation by the California Department of Justice (the “Indictment”). The Indictment was unsealed on July 29, 2015, at which time Mr. Menz’s resignation became effective. Mr. Menz remains an employee of the Company.
