Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 23, 2015, John W. Conway, 70, informed the Board of Directors (the “Board”) of Crown Holdings, Inc. (the “Company”) of his decision to retire from his role as Chief Executive Officer of the Company effective January 1, 2016. The Board has elected Timothy J. Donahue, 52, to assume the position of President and Chief Executive Officer of the Company effective January 1, 2016. The Board has also elected Mr. Donahue as a member of the Board effective July 23, 2015, and Mr. Donahue is not currently on any committees of the Board. Mr. Donahue currently serves as the Company’s President and Chief Operating Officer, a position he has held since 2013. Prior to that, Mr. Donahue served as Executive Vice President and Chief Financial Officer from 2008 to 2013, as Senior Vice President - Finance from 2000 to 2008 and as the Company's Vice President - Corporate Controller from 1991 to 2000.
There are no arrangements or understandings between Mr. Donahue and any other person pursuant to which he was selected as an officer. Mr. Donahue does not have any familial relationship with any director or other executive officer of the Company or any person nominated or chosen by the Company to become a director or executive officer, and there are no transactions in which Mr. Donahue has an interest requiring disclosure under Item 404(a) of Regulation S-K.

The Company issued a press release on July 23, 2015 announcing the changes described under Item 5.02, a copy of which is furnished as Exhibit 99.1.
