On July 22, 2015, Astoria Financial Corporation (the “Company”) issued a press release which, among other things, highlights the Company’s financial results for the quarter and six months ended June 30, 2015. A copy of the press release is furnished herewith as an exhibit to this report.

Astoria further announced in its press release dated July 22, 2015 that the Board of Directors, at their July 22, 2015 meeting, declared a quarterly cash dividend of $0.04 per share. The cash dividend is payable on September 1, 2015 to shareholders of record as of August 14, 2015. A copy of the press release is furnished herewith as an exhibit to this report.
