Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 23, 2015, V.F. Corporation (“VF”) filed a Current Report on Form 8-K with the Securities and Exchange Commission reporting that the Board of VF had elected Steven E. Rendle President and Chief Operating Officer and had also elected Mr. Rendle to the VF Board. This Current Report on Form 8-K/A supplements the prior Form 8-K in certain respects.
On July 20, 2015, in connection with his promotion, the Compensation Committee of the Board of Directors of VF approved an increase in Mr. Rendle’s long-term incentive plan annual equity award target to $3,500,000 and awarded him 32,052 stock options and 6,059 restricted stock units.
