On July 20, 2015, Penn Virginia Corporation (the “Company”) announced that H. Baird Whitehead, President and Chief Executive Officer of the Company, had informed the Board of the Directors of the Company of his intention to retire. Mr. Whitehead has not set a specific retirement date, and he has indicated that he will continue to serve in his current position until a successor is named and an appropriate transition is complete.

On July 20, 2015, the Company announced the decision of Mr. Whitehead to retire from service with the Company. The press release is attached hereto as Exhibit 99.1 and is hereby incorporated into this Item 7.01.
