Item 4.01. Changes in Registrant's Certifying Accountant
On July 16, 2015, the Audit Committee of the Board of Directors of Essex Rental Corp. (the "Company") appointed McGladrey LLP as its new independent registered public accounting firm. McGladrey LLP is in the process of finalizing due diligence procedures related to its client acceptance process. During the Company's two most recent fiscal years, and the subsequent interim period, the Company has not consulted with McGladrey LLP with respect to the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on its financial statements, or any other matters or reportable events as set forth in Items 304(a)(2) of Regulation S-K.
Item 8.01. Other Events
On July 20, 2015, the Company issued a press release announcing the appointment of McGladrey LLP as the Company's independent registered public accounting firm. A copy of the press release, dated July 20, 2015, is attached hereto as Exhibit 99.1.
