Item 5.03                   Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On July 14, 2015, General Moly, Inc. (the “Company”) filed a Certificate of Amendment to the Certificate of Incorporation of the Company (the “Amendment”), to increase the authorized shares of the Company’s common stock, par value $0.001 per share, from 200 million to 650 million.  The filing of the Amendment was approved by the Company’s stockholders at their annual meeting on June 30, 2015.

A copy of the Amendment, as filed with the Secretary of State of the State of Delaware on July 14, 2015, is attached hereto as Exhibit 3.1 and incorporated herein by reference.
