Item 8.01 Other Events

On July 8, 2015, PREMIER HOLDING CORPORATION, a Nevada corporation (“Premier”) announced that its Board of Directors appointed a new Corporate Secretary to replace Robert Togonon. Mr. Tarek “Terry” Elmani was been promoted from Director of Shareholder Relations to Corporate Secretary. Mr. Elmani started with Premier in the marketing department. He rose to head of marketing before becoming Director of Shareholder Relations. Mr. Elmani is an Orange county resident and brings many talents to his new positon.
