Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
(d) Transfer of Listing.
Preferred Apartment Communities, Inc. (the "Company") has received authorization from NYSE Regulation, Inc. to transfer the listing of its common stock, par value $0.01 per share ("Common Stock") from the NYSE MKT to the New York Stock Exchange ("NYSE"). On July 13, 2015, the Company provided written notice to the NYSE MKT that it intends to transfer the listing of its Common Stock to the NYSE. The Company expects the last day of trading of its Common Stock on the NYSE MKT to be on or about July 16, 2015, and expects the Common Stock to begin trading on the NYSE on or about June 17, 2015, under its current symbol "APTS." Until it begins trading on the NYSE, the Company’s Common Stock will remain trading on the NYSE MKT under the symbol "APTS."

On July 13, 2015, the Company issued a press release entitled "Preferred Apartment Communities, Inc. Announces Listing on the NYSE." A copy of the press release is attached as Exhibit 99.1 and incorporated herein by reference.
