Item 3.02 Unregistered Sales of Equity Securities.

As previously reported, on June 10, 2015, Ascent Solar Technologies, Inc. (the “Company”) entered into a Securities Purchase Agreement (the “Purchase Agreement”) with TFG Radiant Investment Group Ltd. (“TFG Radiant”) for a private placement of a total of 1,000,000 shares of the Company’s common stock, par value $0.0001 per share (the “Common Stock”), at a per share price of $1.00.

On July 10, 2015, this private placement with TFG Radiant was completed. The Company has received $1,000,000 in gross proceeds from the closing of the transaction. Following the completion of this private placement, TFG Radiant now owns approximately 13.82% of the Company’s Common Stock.
