Item 1.01 Entry into a Material Definitive Agreement.
The information required by this item is included under Item 3.02 of this current report on Form 8-K.
Item 3.02 Unregistered Sales of Equity Securities.
On June 30, 2015, we issued 581,179 shares of our companys common stock at a price of $0.01 per share of common stock for gross proceeds of $5,811.79. The shares were issued pursuant to the exercise of stock options by two optionees.
On June 30, 2015, we sold 5,000,000 common shares of our company at a price of $0.20 per share for gross proceeds of $1,000,000 pursuant to a subscription agreement with one purchaser.
We issued the securities to three non-US persons (as that term is defined in Regulation S of the Securities Act of 1933, as amended) in an offshore transaction in which we relied on the exemptions from the registration requirements provided for in Regulation S and/or Section 4(2) of the Securities Act of 1933, as amended.
