Explanatory Note
On June 19, 2015, Farmers National Banc Corp. (“Farmers”) filed a Current Report on Form 8-K (the “Original Form 8-K”) under Item 2.01 in connection with the completion of its merger with National Bancshares Corporation (“NBOH”) pursuant to the terms of the Agreement and Plan of Merger, dated as of January 27, 2015, by and between Farmers and NBOH (the “Merger Agreement”). This Current Report on Form 8-K/A is being filed solely for the purpose of amending Item 9.01, Financial Statements and Exhibits, of the Original Form 8-K of the Original Form 8-K to clarify the anticipated supplemental filing of the financial statements under Item 9.01(a) and (b) thereunder. This correction does not otherwise affect the disclosures under Item 2.01 or otherwise on the Original Form 8-K.
