ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR

REVERSE STOCK SPLIT

Effective July 6, 2015, Pleasant Kids, Inc., a Florida corporation (the "Company") with the approval from the Financial Industry Regulatory Authority (“FINRA”) has authorized a reverse stock split of One for Five Hundred (1:500) of our total issued and outstanding shares of common stock (the "Stock Split"). The Stock Split decreased our total issued and outstanding shares of common stock from 7,321,458,233 to 14,642,917 shares of common stock. The common stock will continue to be $0.001 par value. The Stock Split shares are payable upon surrender of certificates to the Company's transfer agent. Fractional shares will be rounded upward.

The Reverse Split becomes effective with the Over-the-Counter Bulletin Board at the opening of trading on July 6, 2015, under the symbol “PLKDd”.  The “d” will be placed on our ticker symbol for 20 business days. After 20 business days, our ticker symbol will revert back to its original symbol “PLKD.” Our new CUSIP number is 728490 202.
