SECTION 5 – CORPORATE GOVERANCE AND MANAGEMENT


Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain officers; Compensatory Arrangements of Certain Officers.


Effective July 1, 2015, the Registrant’s Board of Directors was enlarged to three persons and Thomas M. Dean was appointed a director by the Board of Directors of the Registrant to fill the resulting vacancy.  Mr. Dean will serve on the Board of Directors until the next annual meeting of shareholders and until his successor is duly elected, subject to earlier resignation or removal.   


Any compensation for members of the Registrant’s Board of Directors has yet to be determined.


Mr. Dean was a founding member and has been President of Murdock Capital Partners Corp. since 1998. Murdock Capital Partners Corp. is a New York private merchant banking firm providing corporate finance and financial advisory services. It advises its corporate clients on all aspects of investment banking, including mergers and acquisitions, public and private financing, management buy-outs and corporate divestitures.
