Item 5.07.                      Submission of Matters to a Vote of Security Holders.

Our annual meeting of stockholders was held on July 2, 2015. Proxies were solicited pursuant to our definitive proxy statement filed on June 5, 2015 with the Securities and Exchange Commission under Section 14(a) of the Securities Exchange Act of 1934.

The number of shares of the Company’s common stock entitled to vote at the annual meeting was 184,968,027. The holders of 147,109,052 shares of common stock were present or represented by valid proxy at the annual meeting. Each share of common stock was entitled to one vote with respect to matters submitted to the Company’s stockholders at the annual meeting. At the annual meeting, our stockholders voted on the matters set forth below.

Proposal 1 Election of Class I Director

Proposal 5 – Reverse Stock Split of the Company’s common stock

Our stockholders voted upon and approved an amendment to our Amended and Restated Articles of Incorporation, as amended, and authorized our Board of Directors, if in their judgment it is necessary, to effect a reverse stock split of our common stock, $0.001 par value per share, at a whole number ratio in the range of 1:12 to 1:15, such ratio to be determined in the discretion of our Board of Directors. The votes on this proposal were as follows:
