ITEM 8.01 Other Events.

On July 1, 2015, The Chubb Corporation (“Chubb”) announced the signing of a definitive merger agreement providing for the acquisition of Chubb by ACE Limited (“ACE”) for consideration consisting of ACE stock and cash. A copy of the joint press release and investor presentation are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively, and are incorporated herein by reference.

On July 1, 2015, copies of the documents attached hereto as Exhibits 99.3, 99.4 and 99.5 were disseminated by Chubb in connection with the acquisition.
