ITEM 3.01 Notification of Failure to Satisfy a Continued Listing Rule or Standard and Regained Compliance

 

On June 19, 2015, Axion Power International, Inc. (the “Company”) received a letter from Nasdaq stating that the Company did not meet Listing Rule 5810(b) due to the fact that Mr. Farley, its Chairman, remained as a member of the Company’s Compensation Committee after April 15, 2015, when he acted as the Company’s Principal Executive Officer for 10-K purposes, and was thus no longer an “independent director”. The letter goes on to state that the Company regained compliance on June 1, 2015, when Mr. Farley resigned from the Compensation Committee.
