Item 2.02. Results of Operations and Financial Condition.
On June 18, 2015, Liberty Tax, Inc. (the “Company”) issued a press release regarding its earnings for the fiscal year ended April 30, 2015. A copy of the release is being furnished as Exhibit 99.1 hereto and incorporated herein by reference. In addition, on June 18, 2015 at 8:30 a.m. Eastern Time, the Company will hold a teleconference for analysts, institutional investors and stockholders to discuss results for the fiscal year ended April 30, 2015.

Item 8.01. Other Events
On June 18, 2015, the Company also announced that its Board of Directors approved a cash dividend to its stockholders. The quarterly dividend of $0.16 per share will be paid on July 22, 2015 to stockholders of record at the close of business on July 15, 2015.
