Item 7.01 -    Regulation FD Disclosure

On June 17, 2015, we issued a press release to report the sale of approximately 3,700 net acres in Burleson County, Texas for cash consideration of $22.1 million. We also announced plans to resume drilling operations in the third quarter 2015, with one rig drilling horizontal Wolfcamp wells in the southern Delaware Basin in Reeves County, and one rig drilling horizontal Eagle Ford wells in Robertson, Burleson, Lee and Bastrop Counties, Texas. Drilling and completion costs associated with these rigs for the remainder of 2015 are expected to total approximately $35 million and will be financed by incremental borrowings on the Company’s bank credit facility. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K. This information, including Exhibit 99.1, is being furnished pursuant to Item 7.01 of Form 8-K and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, or otherwise subject to liabilities of that section.
