On June 9, 2015, Mathew Pendo, a director of Ally Financial Inc. (the “Company”) informed the Board of Directors (the “Board”) of the Company of his decision to resign from the Board, effective June 12, 2015. Mr. Pendo has served as a director of the Company since April 2013 and the decision to resign was due to a change in his employment status, and did not involve any disagreement with the Company’s operations, policies or practices.
