Item 7.01. Regulation FD Disclosure.
In accordance with General Instruction B.2. of Form 8-K, the following information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended.
The Board of Directors of Kinder Morgan, Inc. (KMI) has approved a warrant repurchase program, authorizing KMI to repurchase in the aggregate up to $100 million of its warrants to purchase shares of Class P common stock, which are currently trading on the New York Stock Exchange. Repurchases may be made by KMI from time to time in open-market or privately-negotiated transactions as permitted by securities laws and other legal requirements, and subject to market conditions and other factors. Under the repurchase program, there is no time limit for warrant repurchases, nor is there a minimum number of warrants KMI intends to repurchase. The repurchase program may be suspended or discontinued at any time without prior notice.
