Item 7.01 Regulation FD Disclosure.

 

On June 9, 2015, Global Defense & National Security Systems, Inc. (the “Company”) issued a press release announcing that on June 8, 2015, the Company entered into a Stock Purchase Agreement (the “Business Combination Agreement”) with STG Group, Inc. (“STG”); the stockholders of STG Group, Inc.; Simon Lee, as Stockholders’ Representative; and Global Defense & National Security Holdings LLC. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.

In connection with the proposed transaction of STG by the Company pursuant to the terms of the Business Combination Agreement, the Company will file a proxy statement with the Securities and Exchange Commission (the “SEC”). The Company also intends to file a proxy statement with the SEC for a proposal to extend the date before which it must complete a business combination from July 24, 2015 to October 24, 2015 (the “Extension Proposal”).
