ITEM 5.03 AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR.
On June 1, 2015, the Registrant filed with the State Department of Assessments and Taxation of Maryland (the “SDAT”) Articles of Amendment and Restatement that increased the number of authorized shares of the Registrant’s common stock, $0.01 par value per share (the “Common Stock”), to 150,000,000 shares. A copy of the Articles of Amendment and Restatement is attached as exhibit 3.1 to this Current Report on Form 8-K. The total number of shares of Common Stock which the Registrant had authority to issue immediately prior to filing such articles was 75,000,000 shares.
