EXPLANATORY NOTE
This Amendment No. 1 amends the Current Report on Form 8-K (the “Original 8-K”) The Fresh Market, Inc. (the “Company”) filed with the Securities and Exchange Commission on April 30, 2015, regarding the election of Michael D. Casey and Robert K. Shearer to the Board of Directors (the “Board”) of the Company, to include the Board committee assignments for Messrs. Casey and Shearer, which had not been determined at the time of filing the Original 8-K.

(d) On June 3, 2015, the Company's Board appointed Mr. Casey as a member of the Compensation Committee of the Board and Mr. Shearer as a member of the Audit Committee of the Board, each effective as of that date.
