(b) On June 1, 2015, Stanley L. Ferguson, Executive Vice President, General Counsel and Secretary of USG Corporation (the “Company”), notified the Company of his intention to retire at the end of the year. The Company expects to name a new General Counsel by the date of Mr. Ferguson’s retirement. Mr. Ferguson will assist with the transition of the Company's new General Counsel and will continue to serve as Executive Vice President, General Counsel and Secretary until his retirement from the Company.
