Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 31, 2015, Energy Recovery (the “Company) accepted the resignation of its Chief Sales Officer, Mr. David Barnes, effective immediately. If Mr. Barnes provides a general release, the Company has agreed to provide him with the following benefits for a period of two (2) months: (i) salary continuation and (ii) health benefits.
