Item 8.01 Other Events
On May 26, 2015, the Board of Directors unanimously approved that Direct Transfer, LLC is authorized to issue additional shares as required to facilitate requests to perform the round up of the fractional shares on a beneficial holder level following FINRA’s approval of the 1:1000 reverse stock split without further notification to or approval of the board.
