| Item 1.01. | Entry into a Material Definitive Agreement. |
On May 26, 2015, InfoSonics Corporation (the “Company”) entered into the Second Amendment to Loan and Security Agreement with Silicon Valley Bank (the “Amendment”). The Amendment modifies the original Loan and Security Agreement that was dated as of March 27, 2014 (the “Credit Facility”). The purpose of the Amendment was to reduce the Adjusted Quick Ratio covenant from 1.75 to 1.00 to 1.25 to 1.00 and to reduce the test frequency of the covenant from monthly to quarterly. No other provisions of the Credit Facility were changed by this Amendment.
A copy of the Amendment is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
