Item 5.07Submission of Matters to a Vote of Security Holders

 

The annual meeting of the shareholders of MB Bancorp, Inc. (the “Company”) was held on May 26, 2015. The final results for each of the matters submitted to a vote of shareholders at the annual meeting are as follows:

 

1.The following individuals were elected as directors for terms of three years by the following vote:

There were 382,979 broker non-votes on the proposal.

 

2.The appointment of Stegman & Company as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2015 was ratified by the shareholders by the following vote:

There were no broker non-votes on the proposal.

 

3.An advisory vote was taken to approve the compensation of the Company’s named executive officers as disclosed in the proxy statement and the vote was as follows:

There were 382,979 broker non-votes on the proposal.

 

4.An advisory vote was taken on the frequency of the shareholder vote to approve the compensation of the Company’s named executive officers and the vote was as follows:
