(b) On May 26, 2015, Stephen C. Vaughan notified Sonic Corp. (the “Company”) of his intention to resign as Executive Vice President of Franchise Operations, Finance and Planning of the Company effective June 19, 2015. A copy of the Company’s press release dated May 26, 2015 is being furnished as Exhibit 99 hereto.
