Item 8.01 Other Events

On May 26, 2015, Charter Communications, Inc., a Delaware corporation (“Charter”), and Time Warner Cable Inc., a Delaware corporation (“Time Warner Cable”), announced that they entered into a definitive merger agreement, dated May 23, 2015, providing for the merger of Time Warner Cable and Charter, and that Charter has amended its previously announced agreement to acquire Bright House Networks to provide that the Bright House acquisition will occur concurrently with the closing of the Time Warner Cable and Charter closing. A copy of the press release and investor presentation are attached hereto as Exhibits 99.1 and 99.2, respectively, and are incorporated herein by reference.
