ITEM 5.07. Submission of Matters to a Vote of Security Holders.
On May 19, 2015, the registrant held its 2015 Annual Meeting of Shareholders. The following matters were submitted to a vote of the shareholders of record as of March 13, 2015 through the solicitation of proxies:
| 1. | To elect eleven directors to serve for one year and until their successors have been duly elected and qualified; |
| 2. | To provide an advisory (non-binding) vote to approve compensation of the registrant’s named executive officers; and |
| 3. | To ratify Ernst & Young LLP as the registrant’s independent registered public accounting firm for 2015. |
All eleven nominees were elected to serve for one year and until their successors have been duly elected and qualified. The results of the election were as follows:
