Item 7.01. Regulation FD Disclosure.
On May 20, 2015, in contemplation of discussions to be held among management, investors, and/or potential investors, Ascent Capital Group, Inc. (“Ascent”), the parent company of Monitronics International, Inc. (“Monitronics”), posted a slide presentation on Ascent’s website, which included information regarding Monitronics' steady-state free cash flow, a Non-GAAP financial measure, together with applicable definitions. The portion of this slide presentation regarding Monitronics' steady-state free cash flow is attached hereto as Exhibit 99.1.
The information in this Current Report on Form 8-K and the slide presentation attached hereto as Exhibit 99.1 are being furnished to the SEC under Item 7.01 of Form 8-K in satisfaction of the public disclosure requirements of Regulation FD and shall not be deemed “filed” for any purpose.
