EXPLANATORY NOTE
This Form 8-K/A (Amendment No. 1) amends the Current Report on Form 8-K of Monitronics International, Inc., filed May 20, 2015 (the “Original 8-K”). The purpose of this Form 8-K/A is to amend and restate in its entirety Item 9.01 of the Original 8-K and to include a corrected Exhibit 99.1. Terms used but not defined in this Form 8-K/A have the meanings ascribed to them in the Original 8-K.
